This FUND AND DIRECTOR INDEMNIFICATION AGREEMENT (this “Agreement”) dated as of , 2015, is made by and among Baozun Inc., a company organized under the laws of the Cayman Islands (the “Company”), (the “Director”), and (the “Fund”).
