THIS LOAN AND SECURITY AGREEMENT (this “Agreement”), is entered into as of February 28, 2025, between and among, the lenders identified on the signature pages hereof (such lenders, together with their respective successors and assigns, are referred to hereinafter each individually as a “Lender” and collectively as the “Lenders”), KEYBANK NATIONAL ASSOCIATION, a national banking association, as the arranger and Agent for the Lenders (“Agent”), LAGO EVERGREEN SPE, LLC, a Delaware limited liability company (“Borrower”), LAGO ASSET MANAGEMENT LLC, a Delaware limited liability company, as the investment manager (“Investment Manager”) and LAGO EVERGREEN CREDIT, LLC, a Delaware limited liability company, as the originator (in such capacity, the “Originator”) and as the servicer (in such capacity, the “Servicer”).
