THIS AGREEMENT, dated as of , 2006, is made by and between CB RICHARD ELLIS REALTY TRUST, a Maryland real estate investment trust (the “Company”); and CNL SECURITIES CORP., a Florida corporation (the “Managing Dealer”). This Agreement shall become effective upon the effective date of that certain Registration Statement on Form S-11 filed by the Company, with the United States Securities and Exchange Commission on August 10, 2005 (Registration No. 333-127405) (the “S-11”), as the same has been amended from time to time. In the event the S-11 does not become effective by December 31, 2006, this Agreement shall be void ab initio and of no force or effect.
