This Assignment (this “Assignment”) is dated as of the Effective Date set forth below and is entered into by and between the Assignors identified in item 1 below (the “Assignors”) and the Assignee identified in item 2 below (the “Assignee”). Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Agreement (the “Agreement”) (as defined below).
