FEE REDUCTION AGREEMENT AGREEMENT effective as of May 1, 2011, between Eaton Vance Mutual Funds Trust (the "Trust") on behalf of its series, Eaton Vance Tax-Managed Equity Asset Allocation Fund (the "Fund"), and Eaton Vance Management (the "Adviser").
