This Structuring Fee Agreement (this "Agreement") is entered into by and among Comisión Federal de Electricidad (the "Issuer"), a productive state enterprise (empresa productiva del Estado) of the Federal Government of the United Mexican States ("Mexico"), Barclays Bank PLC ("Bardan") and Morgan Stanley & Co. International plc ("Mórgan Stanley" and, each of Barclays and Morgan Stanley, a "Structuring Agent" and, collectively, the "Structuring Agents"). Reference is made to the Subscription Agreement dated the date hereof (the "Subscription Agreement") between the Issuer and HSBC Bank (Taiwan) Limited, as representative of the managers named therein (the "Managers"), with respect to the offering of the Issuer's 5.00% Notes due 2048 (the "Notes"), as described therein (the "Offering"). Capitalized terrns used herein and not otherwise defined shall have the meanings given to them in the Subscription Agreement.
