This Exclusive License Agreement (the “Agreement) is effective (the “Effective Date”) on the date the last of the Parties executes this Agreement, and is by and between the University of Cincinnati, a state institution of higher education organized under Section 3361 of the Ohio Revised Code, having an address at 2900 Reading Rd., Suite 460, Cincinnati, OH 45206‐0829, (“UC”) and company with offices at (the “Licensee”). It constitutes a legally binding agreement and governs Licensee’s use of the Biological Material (as defined below).
