THIS EXCLUSIVE PUCCA RACING LICENSE AND DISTRIBUTION AGREEMENT (hereinafter referred to as “Agreement”) is made and entered into on this 23 day of January, 2008 (hereinafter referred to as “Effective Date”), by and between Gravity Co., Ltd (hereinafter called “Licensor”). ,a corporation duly organized and existing under the laws of the Republic of Korea (hereinafter referred to as “Korea”) and having its offices at 14th Meritz Tower, 825-2 Yeoksam-Dong, Kangnam-Gu, Seoul, Korea, Vooz Co., Ltd (hereinafter called “Character Licensor”) , a corporation duly organized and existing under the law of the Republic of Korea and having its offices at 1,2F Chungbo B/D, Yeoksam 1-dong, 652-7 Gangnam-Gu, Seoul, Korea , and Ini3 Digital Co., Ltd (hereinafter called “Licensee”)., a corporation having its principal place of business at 149 Galaxy Place Building 8th floor 9, Room 8/1, Nonsee Road, Chongnonsee, Yannawa, Bangkok 10120 Thailand.
