This Kimball Hill Marbella Estates Limited Partnership Agreement (the “Agreement”) made and entered into by and between Kimball Hill Homes Florida, Inc., a Florida corporation (the “General Partner”) and Kimball Hill Development Company, an Illinois corporation (the “Limited Partner”) dated effective as of February 2, 2004. The General Partner and the Limited Partner are collectively sometimes hereinafter referred to as the “Partners”.

This SECOND AMENDMENT TO KIMBALL HILL MARBELLA ESTATES LIMITED PARTNERSHIP AGREEMENT is made as of July 1, 2006, between KIMBALL HILL, INC. (“KHI”), an Illinois corporation, and KIMBALL HILL HOMES FLORIDA, INC. (“KHH Florida”), a Florida corporation.
