(the “Principal”). In this regard, Exhibit A of the Escrow Agreement sets forth that Lead Agent as named on page 2 of this Master Fee Protection Agreement (the “Agreement”) is entitled to receive an Agent Fee. The purpose of this Agreement is to set forth the agreement of Lead Agent, Referral Agent and Link Agents(s) as to the division and disbursement of the Agent Fee. For all intents and purposes, Lead Agent, Referral Agent and Link Agents(s) hereby agree that the Agent Fee shall be divided and disbursed as set forth on page 2 of this Agreement. The parties further agree as follows:
