The following terms and conditions (“Agreement”) apply to any orders submitted by OEM in response to this proposal by the Brooks Automation US, LLC entity, affiliate or subsidiary listed on the quotation issued to the OEM (“Brooks”). Any additional or differing terms and conditions on OEM’s Purchase Order do not apply unless expressly agreed to in writing by Brooks. A standard Brooks order acknowledgment form will not be considered to be such a writing. If Brooks does expressly agree in a writing, the writing applies only to the order that it references. Brooks and OEM hereby agree to exclude application of the Uniform Commerical Code.

These Equipment Terms and Conditions (this “Agreement”) set-forth the terms and conditions upon which the buyer (“Customer”) may purchase the conferencing and related equipment specified on written purchase orders submitted by Customer and accepted by BT Conferencing Video Inc. (hereinafter referred to as “BTCV”) BTCV (“Equipment”) and/or software or other media provided by BTCV for use in connection therewith (“Software”) (Equipment and Software may be individually referred to herein as “Product” and collectively as “Products”). Any different or additional terms in Customer’s purchase order or any other document, whether pre-printed or otherwise, are specifically excluded. In consideration of the mutual covenants and conditions set forth below, BTCV and Customer agree as follows:
