This Equipment Purchase & Sale Agreement (this “Agreement”), entered into as of April 8, 2008 (the “Effective Date”), by and between PVA TEPLA DANMARK, a corporation organized and existing under the laws of the Kingdom of Denmark (hereinafter “SELLER”), and HOKU MATERIALS, INC., a corporation organized and existing under the laws of the State of Delaware (hereinafter “BUYER”).
