is made and entered into as of September 30, 2021 (the “Effective Date”) by and among the VIRGINIA DEPARTMENT OF TRANSPORTATION (the “Department”), an agency of the Commonwealth of Virginia, CAPITAL BELTWAY EXPRESS LLC, a Delaware limited liability company (the “Concessionaire”), and TRUIST BANK, a North Carolina banking corporation (successor in interest to SunTrust Bank), as escrow agent hereunder (the “Escrow Agent”) (the Department, the Concessionaire and the Escrow Agent are herein referred to collectively as the “Parties”).
