This Addendum made and entered into on the 31st day of May, 2012, by and between the City of Tempe, an Arizona municipal corporation (“City”), and Ameresco Southwest, Inc., an Arizona corporation, fka, APS Energy Services Company, Inc. (“Ameresco”), hereby amends the original Energy Performance Agreement made and entered into by and between the same parties on or about January 27, 2011 (C2011-19) and and the Addendum No. 1 dated April 28, 2011 (collectively “Agreement”).
