This First Amendment to Credit Agreement and Ratification dated as of November 10, 2014 (this “Amendment”) is by and among (a) IDENTIV, INC., a Delaware corporation formerly known as Identive Group, Inc. (the “Borrower”), (b) HIRSCH ELECTRONICS LLC, a Delaware limited liability company and IDONDEMAND, INC., a Delaware corporation (each, a “Guarantor” and collectively, the “Guarantors”), and (c) OPUS BANK, a California commercial bank, as Lender (“Lender”).
