THIS FIRST AMENDMENT TO CORPORATE COMBINATION AGREEMENT DATED JULY 16, 2002 (this “Amendment”) is entered into as of this 22 day of August, 2002 by and between Miracom Industries, Inc., a Nevada corporation (“Miracom”), and Axesstel, Inc., a California corporation (“Axesstel”).
