As at the Latest Practicable Date, Tanshin Investments (a company wholly owned by Mr. Tian), Vicen Investments (a company wholly owned by Mr. Chen) and Sprus Investments (a company wholly owned by Mr. Zhang) beneficially owned 60%, 25% and 15% of the issued share capital of our Company, respectively. On 22 October 2021, Mr. Tian, Mr. Chen and Mr. Zhang entered into the Acting-in-Concert Agreement, pursuant to which Mr. Tian, Mr. Chen and Mr. Zhang confirmed that they had been acting in concert since 14 July 2017 when they started to own the equity interest of Hangzhou Rego in proportions of 60%, 25% and 15%, respectively, directly or indirectly and undertook to vote unanimously for any resolutions proposed at board meetings and shareholder meetings of our Group upon the signing of the Acting-in-Concert Agreement. Immediately following the Closing, the Controlling Shareholders, namely Mr. Wang Dong, Mr. Wang Changhui, Mr. Rao Huigang, Jeremy Global Development Limited, Kiwi Global Development Limited, Restriven Limited, Wangdong Holdings, Pangmao1 Ltd, Wangchanghui Holdings, Pangmao2 Ltd and Raohuigang Holdings, who are parties acting in concert pursuant to the Concert Party Agreement (see “History, Reorganization and Corporate Structure of the Target Group – The Concert Party Agreement”), will be interested in and will control 36,108,114 Successor Company Class A Shares and 191,035,862 Successor Company Class B Shares.

Immediately following the completion of the [REDACTED] (assuming that the [REDACTED] is not exercised), Mr. Zhang Hongchao directly and through Qingchun Wuwei, and Mr. Zhang Hongfu directly and through Shiyu Zuxia, will control [REDACTED]% and [REDACTED]% of our total issued share capital, respectively. Accordingly, Mr. Zhang Hongchao, Mr. Zhang Hongfu, Qingchun Wuwei and Shiyu Zuxia will be our Controlling Shareholders upon the [REDACTED].

Immediately before the completion of the [REDACTED], Mr. Shan and Ms. Zhou, by virtue of the concert party agreement among them, were collectively entitled to control the voting rights of approximately 80.64% of our total issued share capital through Shanghai Puhai, Shanghai Senrui(1) and Shanghai Yuchao(2) holding approximately 45.97%, 17.86% and 16.80% of the issued share capital of our Company, respectively.
