This Conditions Precedent Agreement (this “Conditions Precedent Agreement”) is entered into as of August 3, 2026 (the “Effective Date”), by and between CYCURION, INC, a Delaware Corporation (the “Buyer”) and KUSTOM ENTERTAINMENT, INC, a Nevada corporation (the “Seller”).
