This Amendment (“Amendment”) is entered into, effective as of August 30, 2005 (the “Amendment Effective Date”), by and between Astellas US LLC (“Astellas”, successor-in-interest to Fujisawa Healthcare, Inc., the original signatory to the Agreement defined below), and CV Therapeutics, Inc.
