This Enterprise Subscription Master Agreement (this “ESMA” or “Agreement”) is made and entered into as of when each Buyer and Cloudera execute an Order Form under the G-Cloud 13 Framework Agreement (the “Effective Date”) by and between Cloudera, Inc., a Delaware company located at 395 Page Mill Road, Palo Alto, CA 94306, and its Affiliates (“Cloudera”) and a Buyer (“Customer”) and sets forth the terms under which Customer may purchase and use certain Cloudera Products and Services set forth in Order Forms governed by this ESMA, subject to the order of precedence as set forth in section 8.3 of the Framework Agreement.
