adjoining site to be owned and operated by such affiliate (the “Expansion”). In connection with the Expansion, (i) the Mortgagor and such affiliate are required to enter into and record against the Mortgaged Property and the adjoining property a cross-easement agreement granting cross-easements for access, construction, utilities and integrated operation of the existing improvements and the Expansion, all in substantially the form set forth in the Mortgage Loan documents and (ii) the affiliate may obtain financing for the Expansion without the Mortgagee’s consent, which financing may be secured by a lien on the Expansion, the land thereunder, and the affiliate’s rights under such cross-easement agreement (but not the Mortgaged Property). If the Mortgagee’s consent is required in connection with the cross-easement or Expansion, the Mortgagee’s consent are required to not be unreasonably withheld or delayed.
