THIS AGREEMENT is entered into as of this 25 day of August 2008 (the “Effective Date”) by and between Tridium, Inc., a Delaware corporation (“Tridium”) having its principal place of business at 3951 Westerre Parkway, Suite 350, Richmond, VA 23233, and Solarsa Inc, a Florida corporation (an “Authorized Tridium Reseller” or “Reseller”) having its principal place of business at 4015 Dale Mabry Highway South, Tampa Florida 33611 (each a “Party” and collectively, the “Parties”).
