This ASSIGNMENT OF LIMITED LIABILITY COMPANY INTERESTS (this “Assignment”), dated and effective as of July 21, 2015 (the “Effective Date”), is between Kinder Morgan Operating Limited Partnership “A”, a Delaware limited partnership (the “Transferor”), and UIL Holdings Corporation, a Connecticut corporation (the “Transferee”).
