THIS ASSET SALE AND DEBT ASSIGNMENT AGREEMENT (this “Agreement”), dated as of June 30, 2009, is between Tenshon, Inc., a Nevada corporation (“Seller”) and Allen Dickerson, Ltd., an Arizona limited liability company (collectively, “Buyer”).
