This exclusive license agreement (“Agreement”) and option to license agreement is effective December 31, 2013 (“Effective Date”), by and between (a) Chong Corporation, a Minnesota Corporation, at 5550 Nicollet Avenue, Minneapolis, MN 55419 (“Assignee”) and (b) VapAria Corporation (“Licensee/Option”” or “LO”), a Minnesota corporation having a principal place of business at 5550 Nicollet Avenue, Minneapolis, MN 55419.
