THIS AMENDED AGREEMENT, dated as of the 31st day of December, 2006, between EQUITY INNS, INC., a Tennessee corporation (the “Company”) and Phillip H. McNeill, Jr. (the “Participant”), is made pursuant and subject to the provisions of the Equity Inns, Inc. 1994 Stock Incentive Plan (the “Plan”), a copy of which has been made available to the Participant. All terms used herein that are defined in the Plan have the same meaning given them in the Plan. This amended stock award agreement supersedes the February 1, 2006 stock award agreement.
