AGREEMENT (as amended, modified or supplemented from time to time, this “Agreement”), dated as of October 31, 2005, among the undersigned pledgor (the “Pledgor”), Nordea Bank Finland, Plc, New York Branch, not in its individual capacity but solely as collateral agent (the “Pledgee”), and GMR Newbuilding 2, LLC, as the issuer of the Limited Liability Company Interests (as defined below) (the “Issuer”).
