This Amended and Restated Agreement of Employment by and between REAL D (“REAL D”, or the “Company”) and Andrew Skarupa (this “Agreement”) amends and restates the terms contained in that certain Offer of Employment by REAL D dated December 17, 2004, previously agreed to by you and REAL D (the “Employment Offer”). You shall report directly to the Chief Executive Officer, and your title shall be Chief Financial Officer. The terms of our offer, and the benefits to be provided by the Company, each to be effective as of September 1, 2007, are as follows:

We are pleased to offer you continued employment as the full-time position of Chief Medical Officer (“CMO”) of Hemoglobin Oxygen Therapeutics, LLC (the “Company”) as of August 1, 2022. As you know, the Company plans to convert to a C corporation (“Newco”), and upon such conversion, the reference to “Company” herein shall be to Newco. This offer is contingent upon the Company successfully closing its initial public offering, and your agreement to execute the Company’s Nondisclosure, Noncompetition and Assignment of Developments Agreement (the “Nondisclosure Agreement”), a copy of which is attached hereto as Exhibit A. This letter agreement (the “Agreement”) summarizes the initial terms of your continued employment.
