This Agreement for HVAC Repair Services (“Agreement”), made by and between Shelby County Board of Education, the governing body of Shelby County Schools, a public school district having an office at 160 S. Hollywood Street, Memphis, Tennessee 38112 (hereinafter “SCS”) and Gipson Mechanical Contractors, Inc., having its principal place of business at 6863 Raleigh Lagrange Rd., Memphis, TN 38134 (hereinafter “Contractor”) is executed pursuant to the terms and conditions set forth herein.
