For good and valuable consideration including the opportunity to participate in and possibly win the Make the Cut Contest (“Contest”), receipt and sufficiency of which I hereby acknowledge, the undersigned named below assigns and otherwise transfers to ModCloth, Inc., and any subsidiaries, successors or assigns (“ModCloth”), all right, title and interest in the Designs that the undersigned submitted in connection with the Contest, including any and all moral or other rights associated with or arising from the Designs. The undersigned further acknowledges that ModCloth has full right and authority to register and enforce any or all rights in the Designs for ModCloth’s sole and exclusive benefit.
