THIS AGREEMENT, dated as of January 19, 2022, between Federated Hermes MDT Series, a statutory business trust organized under the laws of the State of Massachusetts, on behalf of its series Federated Hermes MDT Balanced Fund (the “Acquiring Fund”), and Federated Hermes Core Trust, a statutory business trust organized under the laws of the State of Massachusetts, on behalf of its series identified on Schedule A, severally and not jointly (each, an “Acquired Fund” and together with the Acquiring Fund, the “Funds”).
