This Acreage Earning Agreement (this “Agreement”), dated effective December 31, 2005 (the “Effective Time”), is by and between Teton Energy Corporation, 410 17th Street, Suite 1800, Denver, Colorado 80202 (“Teton”) and Noble Energy, Inc., 1625 Broadway, Suite 2000, Denver, Colorado, 80202 (“Noble”). Teton and Noble may be referred to individually as a “Party” or collectively as the “Parties.” The transaction contemplated by this Agreement may be referred to as the “Transaction.”
