This Agreement by and between the business entity indicated on the Service Application and its accompanying documentation, which documents are incorporated herein and constitute a part of this Agreement as if fully set forth herein (“Merchant” or “you”) and National Processing Company, a Nebraska corporation (“NPC” or “us” or “we”) is binding on you as of the earlier of the date signed by NPC, the date of the first Electronic Check Transaction processed under this Agreement, or the date we approve your Service Application. If NPC has approved your Service Application in accordance with the preceding sentence, the effective date of the Agreement will be the date that you signed the Service Application (the “Effective Date”). By either your signature on the Service Application or by processing a transaction with NPC or any of its affiliates, you confirm acceptance of this Agreement.
