This ACCENTURE CLOUD PLATFORM AGREEMENT (“Agreement”) is made and entered into as of [INSERT DATE], (“Effective Date”) by and between Accenture LLP, with offices at 1501 S. MoPac Expressway, Suite 300, Austin, TX 78746 (“Accenture”) and the State of Texas (“State”), acting by and through the Department of Information Resources (“DIR”) with its principal place of business at 300 West 15th Street, Suite 1300, Austin, Texas 78701. The Agreement is entered pursuant to, and subject to, DIR Contract Number DIR‐TSO‐4062 (“DIR Contract”). In the event of a conflict between DIR Contract No. DIR‐TSO‐4062 and this Agreement, the terms of DIR Contract No. DIR‐TSO‐4062 shall control. The term “Customer” is defined in Section 2(A) of the DIR Contract No. DIR‐TSO‐4062. Accenture and Customer are also each referred to under this Agreement individually as a “Party,” and together as the “Parties.”
