EX-99.4 5 d7278349_ex99-4.htm Exhibit 99.4 SHARE LENDING AGREEMENT Dated as of September 30, 2016 Among SFL CAPITAL II LTD., an exempted company incorporated in Bermuda ("Lender"), SHIP FINANCE INTERNATIONAL LIMITED, an exempted company incorporated in Bermuda ("Ship Finance") and JEFFERIES CAPITAL SERVICES, LLC ("Borrower") This Agreement sets forth the terms and conditions under which Borrower may, from time to time, borrow from Lender shares of Common Stock. The parties hereto agree as follows: Section 1. Certain Definitions. The following capitalized terms shall have the following meanings: "Bankruptcy Code" has the meaning assigned to such term in Section 8(a). "Borrower Group" has the meaning assigned to such term in Section 2(c). "Business Day" means a day on which regular trading occurs on the NYSE, or if the Common Stock is not listed on the NYSE, the principal market on which the Common Stock is listed or quoted; if the Common Stock is not so listed or quoted, "Business Day"
