During the term of this Agreement, should the Company commit a breach of this Agreement according to the Section XI.A, the City may terminate this Agreement, subject to Section VII.B. Furthermore, the City may terminate the Agreement in the event that the Company fails to obtain a Certificate of Occupancy for the Facility by December 31, 2023, subject to Force Majeure, by giving sixty (60) days’ written notice to the Company and an opportunity to cure.
