THIS RESTRICTED STOCK GRANT AGREEMENT, made as of January 25, 2023 (the "Grant Date"), between CoJax Oil and Gas Corporation, a Virginia corporation (the "Company"), and Wm. Barrett Wellman, a natural person and Chief Financial Officer of the Company (the "Grantee"). Grantee and Company may also be referred to individually as a "party" and collectively as the 'parties."

This Executive Employment Agreement (this "Agreement") is made as of the 14th day of February 2023 by and between CoJax Oil and Gas Corporation, a Virginia corporation (the "Company"), and Jeffrey J. Guzy, a natural person, residing in the Commonwealth of Virginia ("Executive"). Executive and Company may also be referred to individually as a “party” and collectively as the “parties.”
