THIS THIRD AMENDMENT TO AMENDED AND RESTATED COINSURANCE and MODIFIED COINSURANCE AGREEMENT (“Amendment”) effective as of 10th, October 2022 amends the AMENDED AND RESTATED COINSURANCE AND MODIFIED COINSURANCE AGREEMENT effective February 4, 2021 (the “Agreement”) by and between MEMBERS LIFE INSURANCE COMPANY (the “Company”) and CMFG LIFE INSURANCE COMPANY (“Reinsurer”).

This Amendment to Administrative Services Agreement (“Amendment”) is entered into by and among Franklin Templeton Services, LLC, a Delaware limited liability company (“FTS” or Fund Administrator”), Franklin Distributors, LLC, a Delaware limited liability company (“FD, LLC”), and MEMBERS Life Insurance Company, an Iowa stock life insurance company (the “Company”); FTS, FD, LLC and the Company are each a “Party,” and altogether the “Parties.”

Franklin Templeton Variable Insurance Products Trust (the “Trust”), Franklin/Templeton Distributors, Inc. (the “Underwriter,” and together with the Trust, “we,” “our,” or “us”), MEMBERS Life Insurance Company, and CUNA Brokerage Services, Inc., your distributor (collectively, the “Company” “you” or “your”), on your behalf and on behalf of certain Accounts, (individually a “Party”, collectively, the “Parties”) have previously entered into a Participation Agreement dated May 1, 2016, as amended (the “Agreement”).
