Bell (“Bell”), B2 Management Group LLC, a Nevada limited liability company (“B2 Management”), and B2digital, Inc., a Delaware corporation (together with its wholly owned subsidiaries listed on the signature page, “B2digital”), (each, a “Pledgor” and together the “Pledgors”), and GS Capital Partners, LLC, as pledgee (the “Pledgee”).
