THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”) is made and entered into to be considered effective as of the 26th day of July, 2018 (the “Effective Date”), by and between Mark Rolando Rosales, Marc Vitorillo, and Quantum Capital Group, LLC (each a “Seller” and collectively “Sellers”) and Freedom Leaf Inc., a Nevada corporation (“Buyer”). Capitalized terms used and not otherwise defined herein shall have the definitions assigned thereto in Section 10 below. This Agreement shall supersede and replace any prior agreements between the parties regarding the subject matter hereof.
