THIS WARRANT AGREEMENT (the “Warrant Agreement”) is dated February 21, 2023, among Ur-Energy Inc., a corporation continued under the Canada Business Corporations Act (the “Company”), Computershare Inc., a Delaware corporation (“Computershare”) and its wholly-owned subsidiary Computershare Trust Company, N.A., a federally chartered trust company acting as warrant agent (“Trust Company” and collectively with Computershare, the “Warrant Agent”).
