This EXECUTIVE EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into effective as of the 1st day of December 2018, by and between Exactus, Inc. a Nevada corporation headquartered at 4870 Sadler Road, Suite 300, Glen Allen, VA 23060 (“Company”) and Kelley A. Wendt, an individual (“Executive”). As used herein, the “Effective Date” of this Agreement shall mean December 1, 2018.

(the “Company”) has designated you to be a recipient of a Non-Qualified Stock Option to purchase shares of the common stock of the Company, (“Common Stock”), subject to the employment-based vesting restrictions and other terms set forth in this Agreement and in the Exactus, Inc. 2016 Equity Incentive Plan (the “Plan”). Capitalized terms not otherwise defined herein shall have the meaning set forth in the Plan.
