THIS COMMON STOCK PURCHASE WARRANT (this “Warrant”) certifies that, for value received, Hassan Raza Baqar or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after the later of (i) the date of effectiveness of an amendment to the Company’s articles of incorporation with the Secretary of State of the State of Nevada to increase its authorized shares of Common Stock, par value $0.001 per share (the “Common Stock”) to 1,000,000,000 shares and (ii) the twenty first (21st) day following the date on which the final information statement providing notice of shareholder approval of the issuance of a number of shares of Common Stock in excess of 19.99% of the number of shares of Common Stock outstanding on the date hereof upon exercise of the Pre-Funded Warrants below the “Minimum price” (as defined in Nasdaq Rule 5635) for purposes of Nasdaq Rule 5635(d) (the “Initial Exercise Date”) an
