This Agreement is entered into as of April 16, 2007 by and between (i) Hartford Life Insurance Company and Hartford Life and Annuity Insurance Company (together, "we" or "us") and (ii) Columbia Management Services, Inc. ("you") in your capacity as the transfer agent to open-end investment company shares knows as the Columbia Funds family of funds, including shares of trusts advised by Columbia Management Advisors, LLC and Columbia Wanger Asset Management, L.P. that are offered for investment to insurance company separate accounts and qualified retirement plans (each a "Fund" and together the "Funds").
