THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of March 5, 2021 by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Athena Behavioral Tactical Fund (the “Fund”) a series of the Trust, and the advisor of the Fund, AthenaInvest Advisors, LLC (the “Advisor”).

This AGREEMENT is made as of the 12th day of February 2021, by and among American Assets Capital Advisers, LLC, a Delaware limited liability company located at 11455 El Camino Real, Suite 300, San Diego, CA 92130 (the “Sub-Adviser”), and Altegris Advisors, L.L.C., a Delaware limited liability company located at 1200 Prospect Street, Suite 400, La Jolla, CA 92037 (the “Adviser”).
