This Executive Employment Agreement (hereinafter referred to as the “Agreement”), is entered into by and between Horizon Therapeutics PLC., an Irish Public Limited Company, and its wholly owned subsidiary, Horizon Pharma USA, Inc., a Delaware corporation, each having a principal place of business at 150 S. Saunders Rd, Lake Forest IL 60045, (hereinafter referred to together as the “Company”) and Andrew Pasternak (hereinafter referred as to the “Executive”). The terms of this Agreement shall be effective commencing November 1, 2019 (the “Effective Date”).

THIS MUTUAL SETTLEMENT AND RELEASE AGREEMENT is made on December 21, 2016, (the “Effective Date”), by and between Boehringer Ingelheim Biopharmaceuticals GmbH, a German corporation, having its principal place of business at Binger Straße 173, 55216 Ingelheim am Rhein, Germany (“BI”), and River Vision Development Corp., having its principal place of business at One Rockefeller Plaza, Suite 1204, New York, NY 10020, USA (“RVDC”), (each Party hereinafter referred to as a “Party” and both Parties collectively referred to as the “Parties”).

In consideration of the payments and other benefits set forth in Section 4.4 of the Executive Employment Agreement dated March 5, 2014 including the First Amendment dated May 4, 2017, (the “Employment Agreement”), to which this form is attached, and the payments and other benefits set forth in Exhibit A, attached hereto, I, Robert F. Carey (“Carey”). hereby furnish Horizon Therapeutics, PLC and Horizon Pharma USA, Inc. (together the -Company”), with the following release and waiver (“Release and Waiver”).
