THIS EXECUTIVE EMPLOYMENT AGREEMENT (the “Agreement”), effective as of July 6, 2015 (the “Effective Date”), is made and entered into by and between VAALCO Energy, Inc., a Delaware corporation (hereafter “Company”) and Cary Bounds (hereafter “Executive”). The Company and Executive may sometimes hereafter be referred to singularly as a “Party” or collectively as the “Parties.”
