THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made as of April 20th, 2026 (the “Effective Date”) by and between Alaska Range Resources LLC (a 100% owned US subsidiary of Nova Minerals Limited, an Australian company limited by shares), with an address at 1150 S Colony Way Suite 3-440, Palmer, Alaska 99645 (“Company”), and Ashlie Thorburn (“Executive”). Each of Company and Executive is referred to herein as a “Party” and together they are referred to as the “Parties.” Upon consummation of the Redomicile, this Agreement shall automatically be assigned to and become binding upon the successor United States entity resulting from the Redomicile (the “Successor Entity”), without any further action required by either Party, and all references to “Company” herein shall be deemed to refer to such Successor Entity from and after the date of the Redomicile.
