This Securities Purchase Agreement (this “Agreement”) is dated as of October 15, 2025, between SharpLink Gaming, Inc., a Delaware corporation (the “Company”), and each purchaser identified on the signature pages hereto (each, including its successors and assigns, a “Purchaser” and collectively, the “Purchasers”).

THIS PREMIUM PURCHASE CONTRACT TO PURCHASE SHARES OF COMMON STOCK (this “Contract”) certifies that, for value received, [●] or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after October 17, 2025 (the “Initial Exercise Date”) and on or prior to 5:00 pm (New York City time) January 15, 2025, which is the 90-day anniversary of the Initial Exercise Date (the “Termination Date”), but not thereafter, to subscribe for and purchase from SharpLink Gaming, Inc., a Delaware corporation (the “Company”), up to [●] shares of common stock, par value $0.0001 per share (the “Common Stock”), of the Company (as subject to adjustment hereunder, the “Premium Purchase Shares”). The purchase price of one Premium Purchase Share under this Contract shall be equal to the Exercise Price, as defined in Section 2(b).
