THIS SECURITIES PURCHASE AGREEMENT (the “Agreement”), is entered into as of [__], 2022 (the “Execution Date”), by and among Acanna Therapeutics, Inc., a Delaware corporation, with headquarters located at 4851 Tamiami Trail N, Suite 200, Naples, FL 34103 (the “Company” or “SpinCo”), and the investors listed on the Schedule of Buyers attached hereto (individually, a “Buyer” and collectively, the “Buyers”) and soley in connection with Sections 1(b), 4(b), 4(d), 4(g) , 4(q) and 9, Enveric Biosciences, Inc., a Delaware corporation (“Enveric” or “Parent”) and the parent company of SpinCo.
